Terms of Service
The terms governing access to the BCD iLabs website, products, and related services.

Welcome to BCD iLabs (“BCD iLabs,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our website, products, and related services, including Innovate Nxt and United Vision where these Terms are referenced (collectively, the “Service”). By accessing or using the Service, you agree to these Terms.
If you use the Service under a separate written agreement with BCD iLabs, that agreement controls to the extent it conflicts with these Terms.
1. Acceptance of terms
By creating an account, visiting our website, or using any part of the Service, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you use the Service for an organization, you represent that you have authority to bind that organization.
If you do not agree to these Terms, do not use the Service.
2. Description of service
BCD iLabs develops self-service enterprise AI products built around domain expertise. Innovate Nxt supports food and flavor research and development workflows. United Vision supports manufacturing quality and visual-inspection workflows.
The Service may include websites, web-based tools, dashboards, formulation support, visual-inspection capabilities, and related features. We may update, suspend, or discontinue parts of the Service with reasonable notice where practicable.
3. Use of the service
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
- Use the Service in violation of applicable laws or regulations
- Attempt to gain unauthorized access to the Service, other accounts, systems, or networks
- Transmit malware, viruses, or other harmful code
- Reverse engineer, decompile, or attempt to extract source code except where applicable law permits it
- Use the Service to build a competing product or copy protected features, content, or data
- Resell or sublicense access without our prior written consent
We may suspend or terminate access if we reasonably believe these Terms have been violated.
4. Accounts and registration
Certain features may require an account. You must provide accurate, current information and are responsible for maintaining the confidentiality of your credentials and for activity under your account. Notify us promptly of suspected unauthorized use.

5. Intellectual property and license
BCD iLabs and its licensors own the Service, including its software, design, text, graphics, and other BCD iLabs content. Subject to these Terms and any applicable customer agreement, we grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes. You do not acquire ownership of the Service itself.
You retain ownership of data, content, and intellectual property you submit to or develop through the Service (“Your Data”). This includes flavor formulas developed with Innovate Nxt, plant-floor images used with United Vision, and AI developed for your United Vision inspection use cases.
You grant BCD iLabs a limited license to host, process, transmit, and store Your Data only as necessary to provide, secure, support, and administer the Service for you. BCD iLabs does not use Your Data or customer IP to train or improve shared, general, or third-party AI models.
6. Disclaimers
The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim express and implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
Formulations, predictions, recommendations, detections, and other Service outputs are decision-support information. You are responsible for appropriate expert review, testing, validation, production decisions, safety, regulatory compliance, and use under your policies and applicable law.
7. Limitation of liability
To the maximum extent permitted by law, BCD iLabs and its affiliates, officers, directors, employees, and agents will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill, arising from or related to use of the Service, even if advised of the possibility of those damages.
Unless a separate written agreement states otherwise, our total liability for claims arising from these Terms or the Service will not exceed the amount you paid us in the twelve months preceding the claim or one hundred U.S. dollars ($100), whichever is greater.
8. Indemnification
You agree to indemnify, defend, and hold harmless BCD iLabs, its affiliates, and their officers, directors, employees, and agents from claims, damages, losses, liabilities, and expenses, including reasonable attorneys’ fees, arising from your use of the Service, Your Data, or your violation of these Terms or applicable law.
9. Termination
We may suspend or terminate access to the Service in accordance with these Terms or an applicable customer agreement. You may stop using the Service at any time. Upon termination, your right to use the Service ends. Provisions that by their nature should survive—including intellectual property, disclaimers, limitation of liability, indemnification, and governing law—will survive.
10. Governing law and disputes
These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law principles. Unless a separate written agreement states otherwise, disputes arising from these Terms or the Service will be resolved in the state or federal courts located in Delaware, and you consent to their personal jurisdiction.
11. Changes to these terms
We may update these Terms from time to time. We will post revised Terms on this page and update the “Last updated” date. Continued use after an update becomes effective constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.
